Shareholder Exit

Both shareholders in the business needed a high level of professionalism and client service. The AS Advisory Team quickly gained the trust and respect of each shareholder and provided excellent service and a high quality outcome.

Two shareholders in an automotive products business appointed AS Advisory to help determine accurate business value in preparation for a buyout. The business had distribution rights to a range of automotive products sold through specialist automotive retails outlets in Australia.

Valuation for sale is a detailed and complex process. First, AS Advisory conducted a comprehensive review of the shareholder agreement. Our work then proceeded a review of:

  • agreements in place to determine commercial rights to the product range
  • business structure and operation and
  • strength of the Australian distribution network.

Finally, a review of financial position and management projection was undertaken. Valuation methodologies were then applied to derive a value in accordance with the shareholders’ agreement and a detailed report prepared for shareholders. The valuation enabled the shareholders to reach an amicable split arrangement in a timely and efficient manner.
